Keep It Green Material Reuse Warehouse

Keep It Green Recycling Ltd. (“Keep It Green”) has made available certain construction materials and other items at no cost (the “Materials”). As the recipient of the Materials, I hereby understand and agree that:

  1. I am receiving the Materials “As Is, Where Is”, “With All Faults” and without any warranty, either express or implied, including without limitation, any implied warranties of merchantability or fitness for a particular purpose.
  2. Keep It Green has made no representations or warranties to me regarding the quality, nature, condition or composition of the Materials.
  3. I am responsible for the correct use of the Materials to manufacturer’s’ instructions and guidelines.
  4. I will not use the Materials for resale or for profit, unless the materials are used as a part/parts in the making of a separate product that may then be sold. 
  5. I unconditionally release, waive, discharge and covenant not to sue Keep it Green or its clients, officers, directors, agents, administrators, employees, contractors or volunteers (including without limitation, any client, company or corporation, that has engaged Keep It Green to make this donation on its behalf)(the “Releases”) for any and all liability, claims, demands, actions and courses of action whatsoever arising out of or related to any loss, damage, or injury, including death, that may be sustained by me or any third parties who come into contact with any of these items, regardless of whether such loss, damage or injury is caused by the active or passive negligence of Releases.  
  6. I further agree to Indemnify, defend and otherwise hold Releases harmless from any claims, demands, damages, liabilities or injuries alleged by me or any other third party, including court costs and attorney fees that may incur as a result of or in any way related to my acceptance of the Materials.  
  7. The Materials were used in proprietary marketing or film campaigns and relate to CONFIDENTIAL creative endeavors of Keep It Green and/or its clients.  Accordingly, as a strict condition of receiving the Materials herein, I agree not to publicize or otherwise reveal the items received nor the identity of the donor/Production.
